Terms of Service

1. Acceptance of Terms

By accessing or using CloudPic AMZ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

CloudPic AMZ is a web-based batch image processing tool for e-commerce sellers on Amazon, Walmart, and other platforms. The Service provides SKU mapping from inventory reports, image upload and management, variant synchronization, image compression, anti-association domain isolation, and export to marketplace-compliant formats.

3. Account Registration

You may register for an account using Google, GitHub, or Microsoft OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

• Upload, store, or distribute content that is illegal, harmful, threatening, abusive, or violates intellectual property rights.
• Attempt to gain unauthorized access to other users' accounts, data, or system resources.
• Use the Service for any purpose that violates Amazon, Walmart, or other marketplace terms of service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape or extract data from the Service beyond its intended API.

5. Subscription Plans and Billing

CloudPic AMZ offers multiple subscription tiers (Starter, Pro, Agency). By subscribing to a paid plan:

• You authorize us to charge the applicable fees through our payment provider (Dodo Payments).
• Subscriptions are billed on a monthly or annual basis depending on the selected plan.
• You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing cycle.
• We reserve the right to modify pricing with 30 days' advance notice.

6. Data Ownership

You retain full ownership of all images, spreadsheets, and data you upload to the Service. CloudPic processes your data solely to provide the Service. We do not claim any ownership rights over your content.

7. Data Retention and Auto-Destruct

Uploaded images are automatically deleted 21 days after upload through our Auto-Destruct Privacy Shield. Account data is retained for the duration of your subscription and deleted within 30 days of account closure. You may request immediate deletion at any time by contacting support.

8. Service Availability

We strive to provide uninterrupted service but do not guarantee 100% availability. The Service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

9. Intellectual Property

The CloudPic AMZ software, design, logos, and brand are the intellectual property of CloudPic. You may not use our trademarks, logos, or proprietary information without written consent.

10. Limitation of Liability

To the maximum extent permitted by law, CloudPic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CloudPic from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections on Data Ownership, Limitation of Liability, and Indemnification survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if unsuccessful, through binding arbitration.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or Service notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.
